Terms of Use — InnopayTX

1. Acceptance of Terms

By accessing or using InnopayTX, you agree to be bound by these Terms of Use. If you do not agree, do not use the platform.

2. Eligibility

InnopayTX is intended for use by Indian Chartered Accountants and registered CA firms. By registering, you represent that you are authorised to act on behalf of your firm and your clients.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@innopaytx.com if you suspect unauthorised access.

4. Acceptable Use

You agree to use InnopayTX only for lawful purposes and in accordance with these Terms. You must not:

Upload documents you are not authorised to process.
Attempt to reverse-engineer, decompile, or tamper with the platform.
Use the platform to process data for any purpose other than legitimate tax compliance work.
Introduce malware or attempt to disrupt the platform's operation.

5. Client Data

You are responsible for obtaining all necessary consents from your clients before uploading their financial documents to InnopayTX. You warrant that you have the right to process such data on their behalf.

6. GST and Government API Integrations

Features that interact with the Protean GSP or other government APIs are provided as-is. InnopayTX is not responsible for data accuracy, availability, or delays arising from third-party government systems.

7. Intellectual Property

All software, designs, and content on the platform are the property of InnopayTX and are protected by applicable intellectual property laws. Nothing in these Terms grants you ownership of any platform content.

8. Disclaimer of Warranties

InnopayTX is provided "as is" without warranties of any kind. We do not warrant that the platform will be uninterrupted, error-free, or that parsed data will be completely accurate. Always review AI-generated outputs before relying on them for filing or advisory purposes.

9. Limitation of Liability

To the maximum extent permitted by law, InnopayTX shall not be liable for any indirect, incidental, or consequential damages arising from your use of the platform, including any errors in document parsing or compliance data.

10. Termination

We reserve the right to suspend or terminate your account if you violate these Terms or if we reasonably believe your use poses a risk to the platform or other users.

11. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu.

12. Changes to Terms

We may modify these Terms at any time. Continued use of the platform after changes constitutes your acceptance of the revised Terms.
